By accepting this agreement, you (the "Receiving Party") agree to the following terms with respect to confidential information disclosed by a seller (the "Disclosing Party") through DealNest.
1. Confidential information
"Confidential Information" includes the legal business name, exact location, financial statements and figures, customer and supplier details, reason for sale, and any other non-public information disclosed in connection with a listing.
2. Obligations
- Use Confidential Information solely to evaluate a possible transaction.
- Do not disclose it to any third party without the Disclosing Party's written consent.
- Protect it with at least reasonable care.
- Do not use it to compete with, solicit employees or customers of, or harm the business.
3. Exclusions
Obligations do not apply to information that is or becomes public through no fault of the Receiving Party, was already known without a duty of confidence, or is independently developed.
4. No obligation; no advice
This agreement does not obligate either party to proceed with any transaction. DealNest is not a party to this agreement, provides no legal advice, and recommends you have counsel review it before relying on it for a binding transaction.
5. Electronic acceptance
Your click-acceptance constitutes your electronic signature under the ESIGN Act and applicable state UETA. DealNest records the version accepted, the time of acceptance, and the originating IP address as an audit trail.
